A RESOLUTION OF THE BOARD OF TRIiSTEES OF THE TOWN OF FISTONE
COLORADO, APPROVING AN AGREEMENT BETWEEN THE TOWN OF
FIRESTONE AND HYDRO RESOURCES - ROCKY MOUNTAIN, INC. PERTAINING
TO THE TOWN OF FIRESTONE IIFL-VOCL-STINAR ALLUVIAL WELL PROJECT
WHEREAS, the 1 own of Firestone ("Town") is in need of professional construction sery ices, and more
specifically, installing temporary pumps and performing well development and well pumping, tests, related to the
Town of Firestone BFLL-Vogl-Stinar Alluvial Well Project (`Project") and
WHEREAS, the Town issued an invitation for bid (1FB") proposals for such services for the Project,,
and
WHEREAS, the Town has evaluated the bids submitted in response to the 1FB and finds that Ilydro
Resources — Rocky Mountain, Inc. ("Flydro Resources") is the lowest responsible, responsive bidder whose bid
is most advantageous to the Town
WHEREAS, the Town finds that hydro Resources has the expertise, qualifications, and experience to
perform the work and duties required for the Project, and desires to select Ilydro Resources as the successful
bidder for the IFB and to enter into a construction contract with Ilydro Resources to provide the construction
serv=ices and perform the work as described in Construction Contract, attached hereto as Exhihit A.
NOW, THEREFORE, BE IT RESOLVED BY TIIE BOARD OF TUTEES OF THE TOWN
OF FIRESTONE, COLORADO:
Section 1. 'f he Construction Contract between the Town of Firestone and Ilydro Resources, LLC. is
approved in substantially the same forum as the copy attached hereto and made a part of this resolution, and the
Mayor is authorized to execute the Construction Contract on behalf of the Town.
Section 2. The "l own Manager or such person's designee is authorized to approve, sign, execute and
deliver any and all change orders on behalf of the Town as may be necessary to complete the Project or for the
"ITown to perform under the Contract up to and until such time as the total dollar amount of all such change
orders equals or exceeds $2 ,000. at which time any such change order shall be suhlect to approval by the
Board.

III. CONTRACT TIMES; COMMENCEMENT AND COMPLETION OF WORK
A. The Work shall be substantially completed within 90 days of the Effective Date of this Agreement. It
shall continue until the Contractor completes the Scope of Services to the Town's satisfaction, or
until terminated as provided herein.
B. Either Party may terminate this Agreement upon 30 days advance written notice. The Town shall
pay the Contractor for all Work previously authorized and satisfactorily completed prior to the date
of termination. If, however, the Contractor has substantially or materially breached this Agreement,
the Town shall have any remedy or right of set-off available at law and equity.
C. Should a delay in completion constitute a compensable Inconvenience to the Town and its residents,
the liquidated damages estabtishedd in this Section shall be enforced. Such damages are not a
penalty, and the parties recognize the delays, expenses, and difficulties involved in proving the
actual loss suffered by the Town if the Work is not completed on time. Accordingly, instead of
requiring such proof the Parties agree that as liquidated damages for each day that all or a portion
o€ the Work is delayed beyond the deadlines set forth in Section III hereof, plus any extensions
thereof allowed, the Contractor shall be assessed the amount of two hundred fifty dollars ($250)
each day until the Work is complete.
1V. COMPENSATION
In consideration for the completion of the Work by Contractor, the Town shall pay Contractor, subject
to all of the terms and conditions of the Contract Documents, an hourly rate plus expenses contract
amount not to exceed $50.670.00 (the "Contract Price). The Contract Price shall include all fees,
costs, and expenses Incurred by the Contractor.
V. PAYMENT PROCEDURES
A. The Contractor may submit Applications for Payment for completed Work monthly. The Contractor
may submit periodic invoices, which the Town shall pay within 30 days of receipt.
B. The Town may retain up to We percent (5%) of the calculated value of completed work from each
application of payment up until the Construction Contract is completed satisfactorily and finally
accepted by the Town.
C. Upon issuing a final acceptance of the Work for the Project, the Town shall pay to Contractor the
remainder of the funds or monies previously withheld as retainage.
VI. RESPONSIBILITY
A. Contractor hereby warrants that it is qualified to assume the responsibilities and render the services
described herein and has all requisite corporate authority and licenses In good standing, required
by law.
B. The Work performed by Contractor shall be in accordance with generally accepted practices and
the level of. competency presently maintained by other practicing contractors in the same or similar
type of Work in the applicable community.

B. Notice to Proceed.
C. The following maybe delivered or issued, after the Effective Date of the Construction Contract and
are attached hereto, Contractors Insurance Certificate, all written amendments and other documents
amending, modifying, or supplementing of the Contract Documents.
There are no Contract Documents other than those listed above in this Section XI.
Xll. CHANGE ORDERS
A. A Change Order is a written instrument issued after execution of the Agreement signed by Town
and Contractor, stating their Agreement, as applicable, upon all of the following:
i. The scope of the change in the Work;
2. The amount of the adjustment to the Contract Price; and
3. The extent of the adjustment to the Contract Times(s).
B. All changes in the Work authorized by applicable Change Order shall be performed under the
applicable conditions of the Contract Documents. Town and Contractor shall negotiate in good faith
and as expeditiously as possible the appropriate adjustment such changes.
XLII. MISCELLANEOUS
A. Governing Law and Venue. This Construction Contract shall be governed by the laws of the State
of Colorado, and any legal action concerning the provisions hereof shall be brought in Weld County,
Colorado.
B. No Waiver. Delays in enforcement or the waiver of any one or more defaults or breaches of this
Construction Contract by the Town shall not constitute a waiver of any of the other terms or
obligation of this Construction Contract.
C. Integration. This Construction Contract and any attached exhibits constitutes the entire Agreement
between the Parties, superseding all prior oral or written communications.
D. Third Parties. There are no intended third -party beneficiaries to this Construction Contract.
E. Notice. Any notice under this Construction Contract shall be In writing, and shall be deemed
sufficient when personally presented or sent pre -paid, first class U.S. Mail to the Party at the address
set forth on the first page of this Agreement.
P. Severability. If any provision of this Construction Contract is found by a court of competent
jurisdiction to be unlawful or unenforceable for any reason, the remaining provisions hereof shall
remain in full force and effect.
G. Modification. This Construction Contract may only be modified upon written Agreement of the
Parties.
H. Assignment. Neither this Construction Contract nor any of the rights or obligations of the Parties
shall be assigned by either Party without the written consent of the other.

1. Governmental Immunity. The Town and its officers, attorneys and employees, are relying on, and
do not waive or intend to waive by any provision of this Agreement, the monetary limitations or any
other rights, immunities, and protections provided by the Colorado Governmental Immunity Act,
C.R.S. § 24-10-101, et seq., as amended, or otherwise available to the Town and its officers,
attorneys or employees.
J. Rights and Remedies. The rights and remedies of the Town under this Construction Contract are in
addition to any other rights and remedies provided by law. The expiration of this Construction
Contract shall in no way limit the Town's legal or equitable remedies, or the period in which such
remedies may be asserted, for Work negligently or defectively performed.
K. S biect to Annual ApDroDriation. Nothing herein shall constitute a multiple fiscal year obligation pursuant to
Article X, § 20 of the Colorado Constitution. Any financial obligation of the Town Is subject to annual
appropriation by Its Board of Trustees. Any failure of a Board of Trustees to annually appropriate adequate
monies to finance the Town's obligations under this Agreement shall terminate inate the Agreement upon
expenditure of the appropriated funds.

The Town of Firestone (Town) requests costs for development and testing two alluvial wells located at
the potential Vogl-Stinar wellfield site between Longmont and Firestone, Colorado, in Section 36,
Township 3N, Range 68W (Figure 1). This letter contains the minimum performance expectations for
developing and testing two test wells. McGrane Water Engineering, LLC and Miller Groundwater
Engineering, LLC are the Town's consulting engineers. Please complete the bid form below and email

BACKGROUND
The Town. of Firestone is evaluating two contiguous parcels (Vogl-Stinar and a parcel located south of the
Saint Vrain Creek) for developing a shallow (<25 feet) Horizontal wells (H -well). Under this site
exploration phase, approximately six (6) borings, three (3) 2 -in diameter piezometers, and two (2) 6 -in
diameter "Test Wells" will be drilled by a drilling contractor (Site Services, Inc) in early September 2025.
This Request for Proposal (RPF) is to development and test the two test wells. The planned test well
locations (PW-I and PW-2) and test discharge locations are highlighted in light blue on Figure 2.

i. 0-10 minutes (every minute)
ii. 10-20 minutes (every 2 minutes)
iii. 20-60 minutes (every 5 minutes)
iv. 60 min (1 hr) to 12 hours (every hour)
v. 12 hrs to 48 hrs (every 4 hours).
4. The Contractor will text a photograph of the manual data sheet to the Engineer every 4 hours.
Discharge Header and Surface Pipe
1. The Contractor shall provide a wellhead discharge manifold consisting of (from upstream to
downstream):
1. I. A 90 -degree elbow attached to the drop pipe and set above the test well surface casing ( 2
feet above ground level);
1.2, A backpressure gage that measures at no greater than 2 psi increments (range 0-50 psi max).
1.3. An upstream length of straight 3 -in pipe that is at least 30 -inches long (>10x the pipe
diameter);
1.4. A 3 -in diameter electronic flow meter capable of measuring totalized and instantaneous flow
within 5%;
1.5. An downstream length of straight 3 -in pipe that is at least 1.5 ft long downstream of the flow
meter;
1.6. A water quality sampling port installed on the too horizontal portion of the pipe to sample
and assure the pipe is full;
1.7. A flow control valve;
1.8. Approximately 350 feet of solid or lay -flat 3 -in diameter pipe directed to open discharge
points shown on Figure 2;
1.9. All necessary changeover pipe connections;
2. All downhole components shall be clean with no visible dirt, oil or grease due to the required
water quality sampling.
Submittals
The contractor shall provide the following submittals prior to purchasing equipment:
1. The test -pump's pump curve (TDH 125 gpm from TDH of -45 ft; min 2 hp).;
2. A picture and cut sheet for the flow meter;
3. A cut sheet of the 3 -in, discharge pipe and calculated friction loss for 350 feet at 125 gpm.
Sampling
Test well sampling during pumping will be conducted by a third party engineering company (LRE Water,
Denver, Co.) using the sample port on the top of the test manifold. The Contractor does not need to be
present during well sampling.

The Contractor will provide their standard drilling contract with their bid. The Town may negotiate specific
terms with the Contractor. However, this RFP and following terms and conditions below will be considered
part of the contract "agreement."
Insurance
The Contractor will be required to provide an insurance certificate that meets the requirements ofthe Town
and are available upon request.
Work Schedule
Regular work hours are M -F 7 am to 7 pm unless otherwise approved by the Town. We anticipate the
project will take approximately 6 days to complete.
Rig Access
Rig access is through a gate near the corner of County Road (CR) 26 and CR "Ii 'f" and then generally
along the white paths marked on Figure 2. Access will have been demonstrated during the drilling phase.
However, if access improvements are required, we request the Contractor provide 48 -hour notice for the
Town to improve access. No standby time will be allowed during those 48 hours.
Bids and Payment
All work will occur at the unit rates provided in the bid sheet or based on a similarly itemized proposal
provided. Mobilization includes all project planning, equipment rentals, travel, fuel, water hauling, drilling
expenses, profit, per diem, and activities that do not have specified bid items. Payment will be made by the
Town of Firestone.
Standby time can be charged if there is excessive time waiting on the Engineer as long as that time is longer
than then the Engineer has been waiting on the Contractor. Waiting for equipment, personnel, setting up
and warming up equipment, and adverse site conditions or weather are not considered standby. Therefore,
any standby time will be negotiated after the job is complete.
Lost or Damaged Equipment
The Town or its Engineer will not be responsible for normal wear and tear on downhole items such as auger
flights, drill bits, or lost or damaged testing equipment.
Bid Date and Contracting Schedule
Please complete and execute the bid form below and email it to Dennis McGrane
(dennis@mcgranewater.com) by Friday August 22, 2025 at 2:00 pin. If the bid format is incomplete,
please let us know prior to the bid date and we may accept a modified bid form alternative. The bid
opening will not be public, but bid results will be released by the Town sometime after the bid once
contractor selection has been made. We anticipate that the Town will award the contract at their

Hydro Resources (HR) is pleased to present the following proposal for well development and testing services for
the Vogl-Stinar Wells for the Town of Firestone. HR has a history of performing successful well development and
testing. HR wishes to outline our understanding of the scope of work. Before reviewing the project details, HR
would first like to stress our commitment to the Town of Firestone to providing a company committed to making
Health & Safety our number one priority on this project. HR has broken down the proposal into the following units:

I. Technical Approach
HR has multiple pump rigs and support equipment that can be utilized for this scope. HR plans on utilizing a
SMEAL I0T (or equivalent) 10 Ton Capacity rig.
Well Development & Testing
HR has reviewed the specifications provided by McGrane Water Engineering and wishes to outline our
understanding.
• Mobilize pump service crew to the well designated by McGrane Engineering and set up.
• Install airlift equipment.
• Develop the well as outlined for a period of one hour per well.

• Remove airlift equipment,
• Install test pump capable of 125 GPM with outlined temporary discharge equipment.
• Perform a 5 -hour step test.
• Perform a 48 -hour constant rate test (continuously 24/7 & outside of working hours.)
• Report findings to McGrane Water Engineering and assist with water quality sampling collection.
• Remove test pump.
• Rig down and move over to next selected site repeating the above protocol.
H. Associated Costs
See attached bid sheet.
III. Clarifications
• HR has reviewed the specifications issued.
• HR has assumed working on each well, one at a time.
• HR has assumed level, unobstructed access for the pump rig, support equipment and discharge line.
• HR has included all fuel costs.
• HR has not included taxes.
• HR has assumed that the discharge line mentioned in the specifications is for temporary installment only
and will be used for airlifting and aquifer testing only and removed.
• HR has assumed no fluids require being hauled offsite.
• HR acknowledges that hours were listed as 7 AM to 7 PM; but wishes to specify that the constant rated test
of 48 hours would be continuous 24/7.
• The bid is a complete package and cannot be modified without prior written authorization from HR. The
final invoice will reflect actual quantities utilized in the field which are properly documented multiplied by
the unit rates quoted.
