HomeMy WebLinkAbout25-126 Approving Contract to Buy & Sell Real Property Located 12623 Canoe St. 12-10-2025RESOLUTION NO. 2S-426 A RESOLUTION OF THE BOARD OF TRUSTEES o F THE TOWN OF FIRESTONE COLORADO, RATIFYING THE ACTIONS OF THE INTERIM TOWN MANAGER AND APPROVING A CONTRACT TO BUY AND SELL REAL PROPERTY LOCATED AT 12623 CANOE STREET WHEREAS, the Interim T own Manager has negotiated the material terms and conditions of contract to buy and sell real estate ("Purchase Contract") for certain real property located at 12623 Canoe Street ("Property"), which is owned by the Town of Firestone ("Town"); and WHEREAS, due to the potential expiration of the prospective buyer's offer to purchase the Property, along with the impending closing date contemplated under the Purchase Contract, and to further the purposes and intentions of the Town. Board in purchasing the Property, as stated in Resolution No 25-16, the Interim Town Manager executed the Purchase Contract, in the form attached hereto as Exhibit A. subject to ratification of such Purchase Contract by the Town Board of "Trustees ('Board'"): and WHEREAS, Town Board desires to approve the Purchase Contract and ratify the actions of the Interim Town Manager in executing the Purchase Contract on behalf of the Town, as it is in the Town's best interests. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF TRUSTEES OF THE TOWN OF FIRESTONE, COLORADO: Section 1. The Town Board (a) approves the Purchase Contract between the Town of Firestone and Brandon James and Jessica Lynn Alexander in substantially the same form as the copy attached hereto and made a part of this Resolution, and (b) ratifies the prior action of the Interim Town Manager in previously executing such Purchase Contract on behalf of the Town,. Section 2. Amendments to the Purchase Contract that do not significantly impact the substance of the transaction, such as modifying the allocation of the purchase price by the Seller to components being sold, are authorized and the Interim Town Manager is authorized to execute such amendment documents. Section 3. the Interim Town Manager is further authorized and directed to secure such inspections, and to pursue such other due diligence items, all as may be necessary and ads isable for the potential sale of the Property, as well as commence any other preliminary steps as necessary to proceed to closing. Section 4. The Interim Town Manager is further authorized to approve, sign, execute and deliver any and all documents necessary to perform under the Purchase Contract. to complete the transaction on behalf of the Town at closing, and to effectuate the conveyance of the Property to the Town,.
