HomeMy WebLinkAbout26-27 Approving Intergovernmental Agreement with City of Aurora for Water Delivery – 03.18.2026RESOLUTION NO. 26-27 A RESOLUTION OF THE BOARD OF TRUSTEES OF THE TOWN OF FIRESTONE, COLORADO, APPROVING AN INTERGOVERNMENTAL AGREEMENT BETWEEN THE TOWN OF FIRESTONE AND CITY OF AURORA, COLORADO FOR RECIPROCAL WATER DELIVERIES WHEREAS, the Town of Firestone ("Firestone") owns and operates a municipal water utility system for the benefit of its citizens and water users and, in this capacity, diverts and beneficially uses certain decreed water rights in its municipal system; and WHEREAS, a portion of Firestone's return flow obligation associated with the future change of use of its ditch company shares may, at times, be owed to portions of the South Platte River; and WHEREAS, Firestone is not presently capable of releasing its decreed water rights or fully consumable municipal return flows to the South Platte River upstream of its confluence with St. Vrain Creek, but presently has the capacity and water supply to release water to St. Wain Creek; and WHEREAS, the City of Aurora ("Aurora") owns and operates a municipal water utility system for the benefit of its citizens and water users and, in this capacity, diverts and beneficially uses certain decreed water rights in its municipal system; and WHEREAS, a portion of Aurora's return flow obligation associated with changes of use of Aurora's ditch company shares in the South Platte River Basin may, at times, be owed to portions of St. Wain Creek, a tributary of the South Platte River; and WHEREAS, Aurora is not presently capable of releasing its decreed water rights or fully consumable municipal return flows to St. Vrain Creek, but presently has the capacity and water supply to release water to the South Platte River upstream of its confluence with St. Vrain Creek; and WHEREAS, it is mutually beneficial and increases the efficiency of both Firestone's and Aurora's municipal water supply systems to enter into a reciprocal agreement for the purpose of physically releasing water to help the other Party appropriately satisfy its return flow obligations or other purposes consistent with each Party's water court decrees ("Agreement"); and WHEREAS, in the judgment of the Firestone Board of Trustees, the term of this Agreement will result in an improvement in the capacity, efficiency, or service of Firestone's utility system, and Firestone therefore enters this Agreement to create a mutually beneficial exchange of water with Aurora that will improve the efficiency of Firestone's water supply system; and WHEREAS, consistent with Sections 10-6 and 10-12, Part III, Article X of the Aurora City Charter, Aurora enters into this Agreement to create an exchange of water with Firestone and to allow for cooperation between the Parties in order to release water from their respective water rights to satisfy the other Party's return flow obligations in the South Platte River and St. Vrain Creek as further described in the Agreement. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF TRUSTEES OF THE TOWN OF FIRESTONE, COLORADO: The Intergovernmental Agreement between the Town of Firestone and the City of Aurora, Colorado, for reciprocal water deliveries is approved in substantially the same form as the copy attached hereto and made a part of this resolution. SEAL APPROVED AS TO FORM: Mar eith M fn gown Attorney Intergovernmental Agreement for Water Delivery This Intergovernmental Agreement for Water Delivery ("Agreement") is made on this day of, 2026 ("Effective Date"), between the City of Aurora, Colorado, a municipal corporation of the counties of Adams, Arapahoe, and Douglas, acting by and through its Utility Enterprise ("Aurora") and the Town of Firestone, acting by and through its Water Activity Enterprise ("Firestone"). Aurora and Firestone shall be referred to herein individually as "Party," and collectively as "Parties." Recitals A. Firestone owns and operates a municipal water utility system for the benefit of its citizens and water users, and in this capacity, diverts and beneficially uses certain decreed water rights in its municipal system. A portion of Firestone's return flow obligation associated with its future change of use of its ditch company shares can, at times, be owed to portions of the South Platte River. Firestone is not presently capable of releasing its decreed water rights or fully consumable municipal return flows to the South Platte River upstream of its confluence with St. Vrain Creek. Firestone presently has the capacity and water supply to release water to St. Vrain Creek. B. Aurora owns and operates a municipal water utility system for the benefit of its citizens and water users, and in this capacity, diverts and beneficially uses certain decreed water rights in its municipal system. A portion of Aurora's return flow obligation associated with changes of use of Aurora's ditch company shares in the South Platte River basin can, at times, be owed to portions of St. Vrain Creek, a tributary of the South Platte River. Aurora is not presently capable of releasing its decreed water rights or fully consumable municipal return flows to St. Vrain Creek. Aurora presently has the capacity and water supply to release water to the South Platte River upstream of its confluence with St. Vrain Creek. C. It is mutually beneficial and increases the efficiencies of both Firestone's and Aurora's municipal water supply systems to enter into this reciprocal agreement for the purpose of physically releasing water to help the other Party appropriately satisfy its return flow obligations or other purposes consistent with each Party's water court decrees. D. In the judgment of the Firestone Board of Trustees the termofthis Agreement will result in improvement in the capacity, efficiency, or service of Firestone's utility system. In this regard, Firestone enters this Agreement to create a mutually beneficial exchange of water with Aurora that will result in an improvement of the efficiency of Firestone's water supply system. E. Consistent with Sections 10-6 and 10-12, Part III, Article X of the Aurora City Charter, Aurora enters this Agreement to create an exchange of water with Firestone and to allow for cooperation between the Parties in order to release water from their respective water rights to satisfy the other Party's obligations for return flows in the South Platte River and St. Vrain Creek as further described herein. Agreement In consideration of the mutual promises, rights and obligations contained herein, the Parties agree as follows: Firestone and Aurora each agree to deliver the amount of water described herein for purposes of satisfying the other Party's respective return flow obligations or other uses authorized or required by the Party's water court decrees ("Authorized Use") to St. Vrain Creek for Aurora or the South Platte River for Firestone, subject to the terms of this Agreement. Each Party shall be solely responsible for compliance with their respective water court decrees. 2. Aurora's Deliveries to the South Platte River for Firestone's Authorized Use. 2.1 Amount of Water Delivered for Firestone's Authorized Use. The amount of replacement and/or fully consumable water delivered on Firestone's behalf shall not exceed 460 acre-feet (including transit losses discussed in Paragraph 2.5 below) over the course of the "Water Year," which runs from November 1 to October 31, and shall not exceed an instantaneous flow rate of 1.60 c.f.s. The amount of water that Aurora delivers for Firestone's Authorized Use and the flow rate(s) may be increased or otherwise modified by mutual written agreement of the Parties. 2.2 Firestone's Delivery Schedule. On or before the start of the Water Year, Firestone will provide Aurora with a table setting forth Firestone's total water delivery request and return flow obligations to the South Platte River for the new water year. Said table will include the total volume of return flow replacement obligations on a monthly basis. Daily delivery rates will be determined by dividing the monthly volumes by the number of days within the delivery month. 2.3 Location of Delivery. The Parties may determine the location(s) of delivery by mutual written agreement on or before the start of the Water Year each year. To the extent that the Parties have not reached an agreement by that date, the default delivery location for Aurora's deliveries on Firestone's behalf shall be above the Meadow Island No. 2 Ditch headgate or above the next calling right downstream of that location. The default delivery location is depicted on the attached Exhibit I. 2.4 Sources of Replacement Water. Aurora will satisfy its obligations under this Agreement using water derived from its then -existing water portfolio, including but not limited to, water rights described on the attached Exhibit 3. 2.5 Transit Losses. Aurora will be responsible for the transit losses, if any, from Aurora's point of discharge into the South Platte River to Firestone's delivery location. 2.6 Payment. The Parties intend and expect that the amount of water delivered to each Party under this Agreement will be roughly equivalent. When the amount delivered by Aurora on Firestone's behalf pursuant to this Agreement is greater than the amount Firestone delivers on Aurora's behalf pursuant to this Agreement, Firestone will pay Aurora for the amount of water delivery that exceeds the amount delivered to Aurora. Payment for water delivery shall be due and payable every five years ("Accounting Period"). Payment for water delivery under this Agreement shall be due and payable no later than December 15 after the end of each Accounting Period. The Parties shall account for their deliveries on a monthly basis. The proposed accounting form for the Accounting Period is attached as Exhibit 2. 2.7 Accounting Period. The first Accounting Period shall commence in the first Water Year after the date that a Party provides notice to the other Party of its desire to receive water delivery under this Agreement; provided, however, that any such notice must be given at least six months before the start of the Water Year in which deliveries are requested. The Accounting Period for both Parties shall be the same, even if one Party requests no water delivery during an Accounting Period. Subsequent Accounting Periods shall run consecutively, with the second Accounting Period beginning immediately after the first Accounting Period and subsequent Accounting Periods shall so continue unless and until this Agreement is terminated pursuant to Paragraph 5. 2.8 Rates. The rate for water delivery shall be $676 per acre-foot, which is Aurora's reusable raw water delivery rate as of the Effective Date of this Agreement. The Parties may, by mutual agreement, adjust the water delivery rate under this Paragraph 2.8 and Paragraph 3.8 prior to the beginning of each new Accounting Period so that the applicable rate for both Parties for the new Accounting Period is equivalent to Aurora's then -applicable reusable raw water delivery rate. 2.9 Measurement/Accounting. Aurora shall measure and account for all deliveries (including any deliveries to cover transit loss) made to the South Platte River for Firestone's Authorized Use. All measurement shall occur at the point of release of water into the South Platte River for Firestone's Authorized Use. 3. Firestone's Deliveries to St. Vrain Creek for Aurora's Authorized Use. 3.1 Amount of Water Delivered for Aurora's Authorized Use. The amount of replacement and/or fully consumable water that Firestone delivers on Aurora's behalf will not exceed 460 acre-feet (including transit losses discussed in Paragraph 3.5 below) in any Water Year at a maximum instantaneous flow rate of 1.6 c.f.s. The amount of water that Firestone delivers for Aurora's Authorized Use and the flow rate(s) may be increased or otherwise modified by mutual written agreement of the Parties. 3.2 Aurora's Delivery Schedule. On or before the start of the Water Year, Aurora will provide Firestone with a table setting forth Aurora's total water delivery request and return flow obligation to St. Vrain Creek for the coming Water Year. Said table will include the total volume of return flow replacement obligations on a monthly basis. Daily delivery rates will be determined by dividing the monthly volumes by the number of days within the delivery month. 3 3.3 Location of Delivery. The Parties may determine the location(s) of delivery by mutual written agreement on or before the beginning of each new Water Year. To the extent that the Parties have not reached an agreement by that date, the default delivery location for Firestone's deliveries to the St. Vrain Creek on Aurora's behalf shall be to a point on St. Vrain Creek just North of State Highway 66, located in the Southeast One -Quarter of the Southeast One -Quarter of Section 20, Township 3 North, Range 67 West 6th P.M., Weld County, Colorado, 69 feet from the South Section Line and 610 feet from the East Section Line or above the next calling right downstream of that location. The default delivery location is depicted on the attached Exhibit 1. 3.4 Sources of Replacement Water. Firestone will satisfy its obligations under this Agreement using water derived from its then -existing water portfolio, including but not limited to, water rights described on the attached Exhibit 4. 3.5 Transit Losses. Firestone will be responsible for the transit losses, if any, from Firestone's point of discharge into St. Vrain Creek to Aurora's delivery location. 3.6 Payment. The Parties intend and expect that the amount of water delivered to each Party under this Agreement will be roughly equivalent. When the amount delivered to by Firestone on Aurora's behalf pursuant to this Agreement is greater than the amount delivered by Aurora on Firestone's behalf pursuant to this Agreement, Aurora will pay Firestone for the amount of water delivery that exceeds the amount delivered to Firestone. Payment for water delivery shall be due and payable at the end of every Accounting Period. Payment for water delivery under this Agreement shall be due and payable no later than December 15 after the end of each Accounting Period. The Parties shall account for their deliveries on a monthly basis. The proposed accounting form for the Accounting Period is attached as Exhibit 2. 3.7 Accounting Period. The Accounting Periods shall commence and run as described in Paragraph 2.7 above. 3.8 Rates. The rate for water delivery shall be $676 per acre-foot, which is Aurora's reusable raw water delivery rate as of the Effective Date of this Agreement. The Parties may, by mutual agreement, adjust the water delivery rate in this Paragraph 3.8 and Paragraph 2.8 prior to the beginning of each new Accounting Period so that the applicable rate for both Parties for the new Accounting Period is equivalent to Aurora's then -applicable reusable raw water delivery rate. 3.9 Measurement/Accounting. Firestone shall measure and account for all deliveries (including any deliveries to cover transit loss) made to the St. Vrain for Aurora's Authorized Use. All measurement shall occur at the point of release of water into the St. Vrain Creek for Aurora's Authorized Use. 4 4. Operation and Maintenance of Structures. 4.1 Aurora will solely bear the design, construction, operation, maintenance, and repair costs associated with the delivery and measurement structures needed to deliver water to the South Platte River for Firestone's Authorized Use pursuant to this Agreement and Aurora's use of those structures in the performance of its obligations under this Agreement shall not be construed to confer to Firestone any ownership interest in the structures. 4.2 Firestone will solely bear the design, construction, operation, maintenance, and repair costs associated with the delivery and measurement structures needed to deliver water to St. Vrain Creek for Aurora's Authorized Use pursuant to this Agreement and Firestone's use of those structures in the performance of its obligations under this Agreement shall not be construed to confer to Aurora any ownership interest in the structures. 5. Termination Provisions. This Agreement may be terminated under the following conditions: 5.1 By Mutual Agreement: This Agreement may be terminated at any time by mutual written agreement of both Parties; provided, however: (a) the Parties agree to continue water deliveries under this Agreement for at least one year after a Party provides notice of its desire to terminate this Agreement; and (b) the Parties agree to complete water deliveries sufficient to cover each other's replacement obligations, including lagged depletions, as they exist on the date that the Parties agree to terminate this Agreement. 5.2 By Court Order: This Agreement may be automatically terminated by the order of a court of competent jurisdiction. 5.3 Unilateral Termination for Breach: Either Party may terminate this Agreement at its sole option if the other Party fails to make replacement deliveries as required under this Agreement, following written notice of said failure and that Party's failure to cure within ten (10) days of receipt of notice. 5.4 Termination for Nonperformance Due to Force Majeure: If either Party is unable to perform its obligations under this Agreement due to force majeure as defined in this Agreement, the other Party may terminate this Agreement as further described in Paragraph 11. 6. Authorized Sources of Delivered Water/Cooperation in Water Court Proceedings. The Parties acknowledge and agree that this Agreement contemplates the delivery of replacement water sources between the Parties. The Parties do not anticipate that any additional water court filings confirming this arrangement will be necessary. To the extent that any such filing becomes necessary in the future, the Parties agree to fully cooperate with each other to obtain any necessary court or agency approval, and each Party will bear its own costs in any such proceeding. 7. Water Ouality Provisions. It is recognized that the sources of delivery of water under this Agreement may include, but are not limited to lawfully discharged treated municipal wastewater effluent and fully consumable, raw water. There is no guarantee or representation as to quality of water delivered hereunder except to the extent treated municipal wastewater effluent is utilized to satisfy delivery obligations, any such treated municipal wastewater effluent will be discharged in accordance with the limits and terms of wastewater discharge permits maintained by Firestone, Aurora, and/or Metro Water Recovery. Short term upsets in the quality of effluent discharges or effluent discharges pursuant to a compliance schedule are expressly excluded from this requirement. 7.1 The Parties expressly acknowledge and agree that neither Party has made any representation or warranties regarding the quality of or fitness for any use of the water delivered hereunder. Each Party hereby waives any actual or potential rights it might have concerning any warranties against the other Party as to fitness for a particular use, product liability claims, and all other extant or later created or conceived of strict liability or strict liabilityclaims and rights concerning the fitness or appropriateness of the water delivery hereunder for a particular use or users. 7.2 The Parties further acknowledge and agree that the water delivered pursuant to this Agreement is delivered on an "as -is" basis. Each Party bears all risks that the quality of water delivered hereunder is sufficient for their uses in a plan of augmentation or a temporary substitute supply plan. Adverse determinations by a Court or administrative agency as to the quality of water delivered hereunder for use in a plan for augmentation or a temporary substitute supply plan shall not be grounds for rescission of this Agreement. 8. Notice. Any notice required or permitted to be given hereunder shall be in writing and shall be deemed to be given and effective when delivered by Express Mail, Federal Express, or like service, or on the third mail delivery day after it is deposited to the United States mail, postage prepaid and addressed to the Parties as follows: To Aurora: Aurora Water Management Attn: General Manager 26791 E. Enforcement. The Parties agree that this Agreement may be enforced in law or in equity for specific performance, injunctive, or other appropriate relief, including damages, as may be available according to the laws of the State of Colorado. It is specifically understood that, by executing this Agreement, each Party commits itself to perform pursuant to the terms hereof, and that any breach hereof resulting in any recoverable damages shall not thereby cause the termination of any obligations created by this Agreement unless such termination is requested by the Party not in breach hereof. 10. Sole Obligation of Utility Enterprise/Water Activity Enterprise. This Agreement shall never constitute a general obligation or other indebtedness of either Party, or a multiple fiscal year direct or indirect debt or other financial obligation whatsoever of either Party within the meaning of the Constitution and laws of the State of Colorado or of the Charter and ordinances ofAurora or of Firestone's municipal code. 10.1 In the event of a default by Aurora's Utility Enterprise of any of its obligations under this Agreement, Firestone shall have no recourse for any amounts owed to it against any funds or revenues of the City of Aurora except for those revenues derived from rates, fees or charges for the services furnished by, or the direct or indirect use of, the Water System and deposited in the Water Enterprise Fund, as the terms "Water System" and "Water Enterprise Fund" are defined in City Ordinance No. 2003-18, and then only after the payment of all operation and maintenance expenses of the Water System and all debt service and reserve requirements of any bonds, notes, or other financial obligations of the Utility Enterprise secured by a pledge of the net revenues of the Water Enterprise Fund. Notwithstanding any language herein to the contrary, nothing in this Agreement shall be construed as creating a lien upon any revenues of the Utility Enterprise or the City. 10.2 In the event of a default by Firestone's Water Activity Enterprise of any of its obligations under this Agreement, Aurora shall have no recourse for any amounts owed to it against any funds or revenues of the Town of Firestone except for those revenues derived from rates, fees or charges for the services furnished by its "water activity" as that term is defined by Firestone Ordinance 93-297, and then only after the payment of all operation and maintenance expenses of Water Activity Enterprise and all debt service and reserve requirements of any bonds, notes, or other financial obligations of the Water Activity Enterprise secured by a pledge of VA the revenues of the Water Activity Enterprise. Notwithstanding any language herein to the contrary, nothing in this Agreement shall be construed as creating a lien upon any of the revenues of the Firestone Water Activity Enterprise or the Town of Firestone. 11. Failure to Perform Due to Force Maieure. Subject to the terms and conditions in this Section, no Party to this Agreement shall be liable for any delay or failure to perform under this Agreement due solely to conditions or events of force majeure, as that term is specifically defined herein; provided that A) the non -performing Party gives the other Party prompt written notice describing the particulars of the occurrence of the force majeure; B) the suspension of performance is of no greater scope and of no longer duration than is required by the force majeure event or condition; and C) the non -performing Party proceeds with reasonable diligence to remedy its inability to perform and provides weekly progress reports to the other Party describing the actions taken to remedy the consequences of the force majeure event or condition. As used herein force majeure shall mean any delay or failure of a Party to perform its obligations under this Agreement caused by events beyond the Party's reasonable control, and without the fault or negligence of the Party, including, without limitation, A) changes in state or federal law or administrative practice concerning, water rights administration, water quality or stream flow requirements, B) changes in state water rights administrative practice concerning the use or reuse of the subject water through leases or other agreements to others for use at locations other than Aurora, Colorado, including, but not limited to, challenges to retained dominion and control, C) acts of God, D) sudden actions of the elements such as floods, earthquakes, hurricanes, or tornadoes, E) sabotage, F) vandalism beyond that which can be reasonably prevented by the Party, G) terrorism, H) war, 1) riots, J) fire, K) explosion, L) severe cold or hot weather, M) snow, N) drought, as defined as a drought condition more severe than that which occurred in the years 2002-2003 in the South Platte River Basin, O) other extreme weather conditions, P) blockades, Q) insurrection, R) strike, slow down or labor disruptions (even if such difficulties could be resolved by conceding to the demands of a labor group), S) actions by federal, state, municipal, or any other government or agency (including but not limited to, the adoption or change in any rule or regulation or environmental constraint imposed by federal, state or local government bodies) but only if such requirements, actions, or failures to act prevent or delay performance, T) inability, despite due diligence, to obtain required licenses, permits or approvals, and U) changes of law relating to financial obligations, revenues and budgetary matters concerning Colorado local governments and their enterprises. In the event any delay or failure of performance on the part of the Party claiming. force majeure continues for an uninterrupted period of more than ninety (90) days from its occurrence or inception as noticed pursuant to this Paragraph, the Party not claiming force majeure may, at any time following the end of such ninety (90) day period, terminate this Agreement upon written notice to the Party claiming force majeure, without further obligation except as to costs and balances incurred prior to the effective date of such termination. 12. Entire Agreement. This Agreement represents the entire agreement of the Parties hereto and supersedes all prior negotiations, representations, or agreements, either written or oral, with respect to the delivery of the water contemplated herein. E 13. Multiple Originals. This Agreement may be simultaneously executed in any number of counterparts, each one of which shall be deemed an original, but all of which constitute one and the same Agreement. 14. Amendment. This Agreement may only be amended in writing by the mutual agreement of the undersigned Parties, or their successors and assigns. 15. Headings for Convenience. Headings and titles contained herein are intended for the convenience and reference of the Parties only and are not intended to confine, limit, or describe the scope of intent of any provision of this Agreement. 16. Governing Law and Venue. This Agreement and its application shall be construed in accordance with the law of the State of Colorado. Should it be necessary to initiate court proceedings concerning this Agreement, the Parties agree that venue shall be in Colorado District Court for Arapahoe County, Colorado. 17. No Attorney Fees. In the event of any litigation, mediation, arbitration, or other dispute resolution process arising out of or related to this Agreement each Party agrees to be responsible for its own attorney and other professional fees, costs and expenses associated with any such proceedings. 18. No Construction Against Drafter. This Agreement was drafted by both Parties. Accordingly, the Parties agree the legal doctrine of construction against the drafter will not be applied should any dispute arise concerning this Agreement. 19. No Agency Created. This Agreement is not intended and shall not be construed to create any joint venture, agency relationship or partnership between the Parties. Neither of the Parties shall have any right or authority to act on behalf of or bind the other Party. 20. Non-Severability; Effect of Invalidity. Each Section in this Agreement is intertwined with the others and is not severable unless by mutual consent of the Parties or as provided for below. If any provision or portion of this Agreement or the application thereof to any person or circumstance shall, at any time or to any extent, be invalid or unenforceable for any reason by a Court of competent jurisdiction, and the basis of the bargain between the Parties hereto is not destroyed or rendered ineffective thereby, the remainder of this Agreement, or the application of such provisions to persons or circumstances other than those as to which it is held invalid or unenforceable, shall not be affected thereby. If any portion of this Agreement is held invalid or unenforceable to either Party or as to both Parties, the Parties will immediately attempt to negotiate valid alternative portions that as near as possible to give effect to any portions so stuck. 21. Waiver of Breach. Waiver of breach of any of the provisions of this Agreement by either Party shall not constitute a continuing waiver of any subsequent breach by said Party of either the same or any other provision of thisAgreement. 22. Non -Business Day. If any date for any action under this Agreement falls on a Saturday, Sunday or a day that is a "holiday" as such term is defined in Rule 6 of the Colorado Rules of Civil Procedure then the relevant date shall be extended automatically until the next business day. 23. Recitals and Exhibits. The recitals and exhibits attached hereto are hereby incorporated into this Agreement. 24. Authority to Execute.
