Historic Firestone Neighborhood Plan 05-26-2021RESOLUTION N0.21-65 A RESOLUTION OF THE BOARD OF TRUSTEES OF THE TOWN OF FIRESTONE, COLORADO, APPROVING AN AGREEMENT BETWEEN THE TOWN OF FIRESTONE AND MIG, INC. FOR THE DEVELOPMENT OF THE HISTORIC FIRESTONE NEIGHBORHOOD PLAN WHEREAS, the Town of Firestone ("Town") desires to engage MIG, Inc. ("Contractor") for the purpose of developing a neighborhood plan for Historic Firestone; and WHEREAS, the Town finds that Contractor has the expertise, qualifications, and experience necessary to perform the duties required. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF TRUSTEES OF THE TOWN OF FIRESTONE, COLORADO: The Agreement between the Town of Firestone and MIG, Inc., for Professional Services, is approved in substantially the same form as the copy attached hereto and made a part of this resolution. ATTEST: J Bobbi Sindelar, APPROVED AS TO T� t AGREEMENT FOR PROFESSIONAL SERVICES THIS AGREEMENT FOR PROFESSIONAL SERVICES (the "Agreement") is made and entered into this 1st day of June, 2021 (the "Effective Date"), by and between the TOWN OF FIRESTONE, a Colorado municipal corporation with an address of 151 Grant Avenue, P.O. Box 100, Firestone, Colorado 80520 (the "Town"), and MIG, Inc., an independent contractor with a principal place of business at 518 17th Street, Suite 630, Denver, Colorado 80202 ("Contractor") (each a "Party" and collectively the "Parties"). WHEREAS, the Town requires professional services; and WHEREAS, Contractor has held itself out to the Town as having the requisite expertise and experience to perform the required professional services. NOW, THEREFORE, for the consideration hereinafter set forth, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows: I. SCOPE OF SERVICES A. Contractor shall furnish all labor and materials required for the complete and prompt execution and performance of all duties, obligations, and responsibilities which are described or reasonably implied from the Scope of Services set forth in Exhibit A, attached hereto and incorporated herein by this reference and known as: OLD TOWN FIRESTONE NEIGHBORHOOD PLAN (A20 M905) B. A change in the Scope of Services shall not be effective unless authorized as an amendment to this Agreement. If Contractor proceeds without such written authorization, Contractor shall be deemed to have waived any claim for additional compensation, including a claim based on the theory of unjust enrichment, quantum merit or implied contract. Except as expressly provided herein, no agent, employee, or representative of the Town is authorized to modify any term of this Agreement, either directly or implied by a course of action. I1. TERM AND TERMINATION A. This Agreement shall commence on the Effective Date, and shall continue until Contractor completes the Scope of Services to the satisfaction of the Town, or until terminated as provided herein. Be Either Party may terminate this Agreement upon 30 days advance written notice. The Town shall pay Contractor for all work previously authorized and completed prior to the date of termination. If, however, Contractor has substantially or materially breached this Agreement, the Town shall have any remedy or right of set-off available at law and equity. 111. .COMPENSATION In consideration for the completion of the Scope of Services by Contractor, the Town shall pay Contractor $78,520. This amount shall include all fees, costs and expenses incurred by Contractor, and no additional amounts shall be paid by the Town for such fees, costs and expenses. Contractor may submit periodic invoices, which shall be paid by the Town within 30 days of receipt. IV. PROFESSIONAL RESPONSIBILITY A. Contractor hereby warrants that it is qualified to assume the responsibilities and render the services described herein and has all requisite corporate authority and professional licenses in good standing, required by law. The work performed by Contractor shall be in accordance with generally accepted professional practices and the level of competency presently maintained by other practicing professional firms in the same or similar type of work in the applicable community. The work and services to be performed by Contractor hereunder shall be done in compliance with applicable laws, ordinances, rules and regulations. B. The Town's review, approval or acceptance of, or payment for any services shall not be construed to operate as a waiver of any rights under this Agreement or of any cause of action isi arng out of the performance of this Agreement. C. Because the Town has hired Contractor for its professional expertise, Contractor agrees not to employ subcontractors to perform any work except as expressly set forth in the Scope of Services. V. OWNERSHIP Any materials, items, and work specified in the Scope of Services, and any and all related documentation and materials provided or developed by Contractor shall be exclusively owned by the Town. Contractor expressly acknowledges and agrees that all work performed under the Scope of Services constitutes a "work made for hire." To the extent, if at all, that it does not constitute a "work made for hire," Contractor hereby transfers, sells, and assigns to the Town all of its right, title, and interest in such work. The Town may, with respect to all or any portion of such work, use, publish, display, reproduce, distribute, destroy, alter, retouch, modify, adapt, translate, or change such work without providing notice to or receiving consent from Contractor. If the Town reuses or makes any modification to Consultant's designs, documents or work product without the prior written authorization of Consultant, the Town agrees, to the fullest extent permitted by law, to release the Consultant, its officers, directors, employees and sub -consultants from all claims and causes of action arising from such uses, and shall indemnify and hold them harmless from all costs and expenses, including the cost of defense, related to claims and causes of action to the extent such costs and expenses arise from the Town's modification or reuse of the documents. The Town expressly acknowledges and agrees that the documents and data to be provided by Consultant under the Agreement may contain certain design details, features and concepts from the Consultant's own practice detail library, which collectively may form portions of the design for the Project, but which separately, are, and shall remain, the sole and exclusive property of Consultant. Nothing herein shall be construed as a limitation on the Consultant's right to re -use such component design details, features and concepts on other projects, in other contexts or for other clients. VI. INDEPENDENT CONTRACTOR Contractor is an independent contractor. Notwithstanding any other provision of this Agreement, all personnel assigned by Contractor to perform work under the terms of this Agreement shall be, and remain at all times, employees or agents of Contractor for all purposes. Contractor shall make no representation that it is a Town employee for any purposes. VII. INSURANCE A. Contractor agrees to procure and maintain, at its own cost, a policy or policies of insurance sufficient to insure against all liability, claims, demands, and other obligations assumed by Contractor pursuant to this Agreement. At a minimum, Contractor shall procure and maintain, and shall cause any subcontractor to procure and maintain, the insurance coverages listed below, with forms and insurers acceptable to the Town. 1. Worker's Compensation insurance as required bylaw. 2. Commercial General Liability insurance with minimum combined single limits of $1,000,000 each occurrence and $2,000,000 general aggregate. The policy shall be applicable to all premises and operations, and shall include coverage for bodily injury, broad form property damage, personal injury (including coverage for contractual and employee acts), blanket contractual, products, and completed operations. The policy shall contain a severability of interests provision, and shall include the Town and the Town's officers, employees, and contractors as additional insureds. No additional insured endorsement shall contain any exclusion for bodily injury or property damage arising from completed operations. 3. Professional liability insurance with minimum limits of $1,000,000 each claim and $2,000,000 general aggregate. B. Such insurance shall be in addition to any other insurance requirements imposed by law. The coverages afforded under the policies shall not be canceled, terminated or materially changed without at least 30 days prior written notice to the Town. In the case of any claims -made policy, the necessary retroactive dates and extended reporting periods shall be procured to maintain such continuous coverage. Any insurance carried by the Town, its officers, its employees or its contractors shall be excess and not contributory insurance to that provided by Contractor. Contractor shall be solely responsible for any deductible losses under any policy. C. Contractor shall provide to the Town a certificate of insurance as evidence that the required policies are in full force and effect. The certificate shall identify this Agreement. VIII. INDEMNIFICATION A. Contractor agrees to indemnify and hold harmless the Town and its officers, insurers, volunteers, representative, agents, employees, heirs and assigns from and against all claims, liability, damages, losses, expenses and demands, including attorney fees, on account of injury, loss, or damage, including without limitation claims arising from bodily injury, personal injury, sickness, disease, death, property loss or damage, or any other loss of any kind whatsoever, which arise out of or are in any manner connected with this Agreement if such injury, loss, or damage is caused in whole or in part by, the act, omission, error, professional error, mistake, negligence, or other fault of Contractor, any subcontractor of Contractor, or any officer, employee, representative, or agent of Contractor, or which arise out of a worker's compensation claim of any employee of Contractor or of any employee of any subcontractor of Contractor. Contractor's liability under this indemnification provision shall be to the fullest extent of, but shall not exceed, that amount represented by the degree or percentage of negligence or fault attributable to Contractor, any subcontractor of Contractor, or any officer, employee, representative, or agent of Contractor or of any subcontractor of Contractor. B. If Contractor is providing are, engineering, surveying or other design services under this Agreement, the extent of Contractor's obligation to indemnify and hold harmless the Town may be determined only after Contractor's liability or fault has been determined by adjudication, alternative dispute resolution or otherwise resolved by mutual agreement between the Parties, as provided by C.R.S. § 13-50.5-102(8)(c). IX. ILLEGAL ALIENS A. Certification. By entering into this Agreement, Contractor hereby certifies that, at the time of this certification, it does not knowingly employ or contract with an illegal alien who will perform work under this Agreement and that Contractor will participate in either the E-Verify Program administered by the United States Department of Homeland Security and Social Security Administration or the Department Program administered by the Colorado Department of Labor and Employment to confirm the employment eligibility of all employees who are newly hired to perform work under this Agreement. B. Prohibited Acts. Contractor shall not knowingly employ or contract with an illegal alien to perform work under this Agreement, or enter into a contract with a subcontractor that fails to certify to Contractor that the subcontractor shall not knowingly employ or contract with an illegal alien to perform work under this Agreement. C. Verification. 1. If Contractor has employees, Contractor has confirmed the employment eligibility of all employees who are newly hired to perform work under this Agreement through participation in either the E-Verify Program or the Department Program. 2. Contractor shall not use the E-Verify Program or Department Program procedures to undertake pre -employment screening of job applicants while this Agreement is being performed. 3. If Contractor obtains actual knowledge that a subcontractor performing work under this Agreement knowingly employs or contracts with an illegal alien who is performing work under this Agreement, Contractor shall: notify the subcontractor and the Town within 3 days that Contractor has actual knowledge that the subcontractor is employing or contracting with an illegal alien who is performing work under this Agreement, and terminate the subcontract with the subcontractor if within 3 days of receiving the notice required pursuant to subsection 1 hereof, the subcontractor does not stop employing or contracting with the illegal alien who is performing work under this Agreement; except that Contractor shall not terminate the subcontract if during such 3 days the subcontractor provides information to establish that the subcontractor has not knowingly employed or contracted with an illegal alien who is performing work under this Agreement. D. Duty to Comply with Investigations. Contractor shall comply with any reasonable request by the Colorado Department of Labor and Employment made in the course of an investigation conducted pursuant to C.R.S. § 8-17.5-102(5)(a) to ensure that Contractor is complying with the terms of this Agreement. E. Affidavits. If Contractor does not have employees, Contractor shall sign the NO Employee Affidavit" attached hereto. If Contractor wishes to verify the lawful presence of newly hired employees who perform work under the Agreement via the Department Program, Contractor shall sign the "Department Program Affidavit" attached hereto. X. MISCELLANEOUS A. Governinq Law and Venue. This Agreement shall be governed by the laws of the State of Colorado, and any legal action concerning the provisions hereof shall be brought in Weld County, Colorado. B. No Waiver. Delays in enforcement or the waiver of any one or more defaults or breaches of this Agreement by the Town shall not constitute a waiver of any of the other terms or obligation of this Agreement. C. Integration. This Agreement constitutes the entire agreement between the Parties, superseding all prior oral or written communications. D. Third Parties. There are no intended third -party beneficiaries to this Agreement. E. Notice. Any notice under this Agreement shall be in writing, and shall be deemed sufficient when directly presented or sent pre -paid, first class United States Mail to the Party at the address set forth on the first page of this Agreement. F. Severability. If any provision of this Agreement is found by a court of competent jurisdiction to be unlawful or unenforceable for any reason, the remaining provisions hereof shall remain in full force and effect. G. Modification. This Agreement may only be modified upon written agreement of the Parties H. Assignment. Neither this Agreement nor any of the rights or obligations of the Parties shall be assigned by either Party without the written consent of the other. I. Governmental Immunity. The Town and its officers, attorneys and employees, are relying on, and do not waive or intend to waive by any provision of this Agreement, the monetary limitations or any other rights, immunities or protections provided by the Colorado Governmental Immunity Act, C.R.S. § 24-10-101, et seq., as amended, or otherwise available to the Town and its officers, attorneys or employees. J. Rights and Remedies. The rights and remedies of the Town under this Agreement are in addition to any other rights and remedies provided by law. The expiration of this Agreement shall in no way limit the Town's legal or equitable remedies, or the period in which such remedies may be asserted, for work negligently or defectively performed. K. Subject to Annual Appropriation. Consistent with Article X, § 20 of the Colorado Constitution, any financial, obligation of the Town not performed during the current fiscal year is subject to annual appropriation, shall extend only to monies currently appropriated, and shall not constitute a mandatory charge, requirement, debt or liability beyond the current fiscal year. L. Representative Authority. Each person signing this Agreement represents and warrants that he or she is duly authorized and has the legal capacity to execute the Agreement. Should I employ any employees during the term of my Agreement with the Town of Firestone (the "Town"), I certify that I will comply with the lawful presence verification requirements outlined in that Agreement. OR ❑ I, am the sole owner/member/shareholder of a [specify type of entity — i.e., corporation, limited liability company], that does not currently employ any individuals. Should I employ any individuals during the term of my Agreement with the Town, I certify that I will comply with the lawful presence verification requirements outlined in that Agreement. 2. The Town must verify this statement by reviewing one of the following items: ■ A valid Colorado driver's license or a Colorado identification card; ■ A United States military card or a military dependent's identification card; ■ A United States Coast Guard Merchant Mariner card; ■ A Native American tribal document; ■ In the case of a resident of another state, the driver's license or state -issued identification card from the state of residence, if that state requires the applicant to prove lawful presence prior to the issuance of the identification card; or ■ Any other documents or combination of documents listed in the Town's "Acceptable Documents for Lawful Presence Verification" chart that prove both Contractor's citizenship/lawful presence and identity. OR ❑ I am otherwise lawfully present in the United States pursuant to federal law. Contractor must verify this statement through the federal Systematic Alien Verification of Entitlement ("SAVE") program, and provide such verification to the Town. COUNTY OF ) The foregoing instrument was subscribed, sworn to (or affirmed) before me this _day. of _, 2020, by as of My commission expires: (SEAL) Notary Public Exhibit A Scope of Work The scope of work to develop Old Town Firestone's Neighborhood Plan (Neighborhood Plan) is built around four phases that are generally anticipated to take place in the following timeframes: • Phase 1: Organize, June 2021 • Phase 2: Visualize, June —July/early August 2021 • Phase 3: Strategize, August —September 2021. • Phase 4: Realize, October — November 2021 The process described below will require the development of interim products and public outreach and engagement throughout the planning process. The project is scoped as a collaborative planning process with the Town providing background materials/data, outreach and engagement logistics and support, social media, website postings, collateral material production, and assistance with community meetings and presentations to the Planning & Zoning Commission and the Board of Trustees. The MIG Team will also rely on staff to participate in regular coordination meetings, strategic work sessions and to provide feedback on draft deliverables. Feedback on interim deliverables will be incorporated into the Draft and Final Plan. MIG's Project Focus: • Lead community outreach to ensure the Neighborhood Plan is uniquely Firestone • Provide creative and innovative planning and design to meet the community's vision • Develop high -quality renderings and graphics to help visualize key recommendations • Establish a guiding document for staff and elected officials • Provide a Site Master Plan for the former Town Hall Site • Deliver a Final Neighborhood Plan in approximately &7 months Phase 1: Organize The first phase will establish a strong baseline for the planning process including an analysis of existing conditions and creation a public engagement strategy. 1.1 Staff Meeting: Project Kickoff and Tour The MIG Team will conduct a meeting and the Town will lead a neighborhood tour to kick off the project. The purpose of the meeting is to refine the desired project outcomes engagement strategies, and project schedule. The purpose of the Tour is to discuss first impressions of the neighborhood conditions and identify project opportunities and challenges with Staff. Following the meeting, MIG will provide a refined project schedule that defines timing and responsibilities for key tasks. Assumptions: • 2-hour neighborhood tour and meeting with Town Staff • 3 MIG staff in attendance 1.2 Background Information Review MIG will review material transferred to us, including but not limited to GIS data, Development Code, URA, policies and standards, other Town plans, market data, development plans, utility and environmental information, and any available site plans and as-builts for public property, parks and rights -of -way. Information from this background review will be incorporated into Task 1.4, The State of Old Town Firestone Brief. Assumptions: • MIG will prepare and deliver an information request letter with an easy link to upload files • All materials are shared with MIG within 2 weeks of Town receiving the request letter 1.3 Public Engagement Schedule and Strategy Staff will supply an initial schedule, based on the final scope, to MIG and for review. Based on the schedule, MIG will suggest public engagement strategies to further define the direction and intent of community outreach throughout the planning process. Assumptions: • Staff will provide a draft schedule • MIG will make revisions to the draft schedule as needed • MIG and Town Staff will discuss the approach to public outreach during a 30-minute phone call 1.4 The State of the Old Town Firestone Brief Phase 1 data will be summarized in a short, attractive summary memo about the neighborhood's existing physical conditions, demographic and socioeconomic data, and resources that support a vibrant new activity center and neighborhood vitality. This task will be professional opinions and evaluation on what the data is indicating about the neighborhood and how it plays into strategies and actions of the plan. MIG will provide direction to what data is desired for additional analysis. Staff will provide mapping as well as data for evaluation. Assumptions: • MIG will provide a draft document in Microsoft Word • MIG will make one round of revisions based one consolidated set of Town comments • Staff will produce existing conditions maps • Staff will share source map files (GIS and stylized versions) for data evaluation and Phase 3 assessments 1.5 Phase 1 Project Management and Administration This task includes hour long bi-weekly project progress calls (via Zoom), emails, project administration, invoicing, communication, and coordination for Phase 1. Phase 1 is anticipated to span 4 weeks - two (2) bi-weekly calls are anticipated and one (1) invoice round during phase 1. Assumptions: • 1 MIG staff will attend each bi-weekly call • Invoices will be provided monthly Phase 1 MIG Deliverables • Information Request Letter/Upload Portal • Review the Project Schedule and revise public outreach dates/events as needed • State of Old Town Firestone Brief Phase 1 Town Responsibilities • Background materials, including GIS data, project photos, demographics, etc. • Mapping for State of Old Town Firestone Brief • Web postings and social media • Document review and consolidated comments Phase 2: Visualize The second phase will involve establishing a community vision, setting measurable goals, as well as developing standards and guidelines for the neighborhood that will direct the development of the Plan and implementation. 2.1 Visioning Pop -Up Toolkit MIG will design up to four interactive display boards that the Town can use at community festivals and events. In addition, MIG will staff one in -person pop-up event with one MIG staff member. Town Staff will set up and man additional pop-up events as intercepts at existing town events such as the Wh at Firestone and Food and Flick Fridays. The intent of this set of outreach activities is to determine desire and appetite for different uses, public space, building types, architectural vernacular, streetscape treatments, etc. Assumptions: • MIG will provide up to four (4) boards with precedent imagery • One (1) MIG staffwill attend one (1) popup event • MIG will provide a set of questions to guide pop-up facilitator on what information is desired from each board • Town Staff will plot/print and provide additional pop-up materials deemed appropriate/necessary (tent for shade, table, chairs, raffle prize, giveaways, etc.) • Town will market the events and summarize the feedback from all events 2.2 Focus Groups: Issues, Opportunities and Challenges MIG will lead up to two in -person focus groups consisting of neighborhood and Town representatives such as residents, business owners and other community leaders. Final focus group topics will be issues to address in the plan and plan vision but will likely frame discussions around the testing of potential interventions and improvements to the Old Town Firestone study area. This task will be held immediately prior to the community meeting in Task 2.3 to combine trips. Assumptions: • MIG will provide two (2) MIG Staff • Focus Group will be 45 minutes with 15 minutes between focus groups if 2 are. held or both will be held at the same time with one MIG Staff per group • Town will provide a room at Town Hall for conducting focus groups 2.3 Community Meeting #1: Project Introduction, Issue &Opportunities Identification and Vision MIG and the Town will collaborate in facilitating a Project Introduction Community Meeting at Town Hall. The meeting will include introductions to two (2) members of the MIG project team, a short overview presentation, discussion on issues/opportunities/vision, a question and answer period, and a facilitated discussion about what participants would like to see in the Old Town Firestone planning area as well as issues to consider. Assumptions: • Town Staff will schedule and promote the Community Meeting; Town Staff will also provide any refreshments available at the meeting • MIG will prepare a draft presentation for the meeting and Town Staff will contribute content and edit as appropriate • Two to three (2-3) MIG staff will facilitate the meeting • MIG will prepare a summary of the Community Meeting 2.4 Draft Findings and Emerging Goals and Priorities MIG will review summarize the finding from the neighborhood tour, pop-up events to date, focus group(s), and community meeting #1 and draft an initial neighborhood vision consisting of goals and priorities for the planning area. These goals and priorities will be used to frame the key elements of the Plan as defined in Task 3 and the Draft and Final Plan as defined in Task 4. The Town will provide one set of edits and comments. Assumptions: • MIG will prepare a graphically pleasing one- to two -page document summarizing the goals and priorities for use throughout the remainder of the planning and design process, as well as for inclusion in the Draft and Final Plan 2.5 Joint Board of Trustees and Planning &Zoning Commission Meeting and Materials MIG will present findings of Phases 1 & 2 to the Board of Trustees and Planning & Zoning Commission in a joint meeting. Staff will assist in the presentation. Assumptions: • MIG will provide one set of presentation and packet materials for the meeting • One (1) MIG staff will present the findings to the Town Board and Planning &Zoning Commission in a joint meeting • One (1) MIG staff will take notes during the meeting • Town Staff will present the findings to any other groups as deemed appropriate • MIG will provide a debrief of comments heard during the Town Board / Planning & Zoning Commission meeting 2.6 Phase 2 Project Management and Administration This task includes 1-hour long bi-weekly project progress calls (via Zoom), emails, project administration, invoicing, communication, and coordination for Phase 2. Phase 2 is expected to span 4-5 weeks and include 3 bi-weekly calls and 1 or 2 invoicing rounds. Assumptions: • 1 MIG staff will attend each bi-weekly call • Invoices will be provided monthly Phase 2 MIG Deliverables • Draft Old Town Firestone Neighborhood Vision • Pop-up intercept event boards (pdf) and question guide • Draft Goals and Priorities one- to two -pager • Meetings Agendas and Materials (Focus group(s), Community Meeting #1 and Town Board / P&Z meeting) • Meeting summaries (Focus group(s), Community Meeting #1 and Town Board / P&Z meeting) Phase 2 Town Responsibilities • Outreach advertising/promotion • Scheduling, hosting, summarization, and facilitating pop-up activities or focus groups above and beyond those identified in the scope of work • Printing/plotting outreach and meeting materials • Assistance with Board/Commission updates • Document review and consolidated comments • Phase 2 engagement summary suitable for inclusion into the Neighborhood Plan's Appendix Phase 3: Strategize In the third phase, the established goals and priorities will be taken into more detailed planning and design to develop a preliminary set of recommendations and visual concepts. Those recommendations will be further prioritized and revised based upon community and key stakeholder inputs. 3.1. Draft Priority Projects &Opportunities Matrix and Map MIG will produce a map of the proposed projects in and around Old Town Firestone based on feedback from Phase 2. This map will show both existing and potential locations for development, public space and transportation improvements. This map will be accompanied by a projects matrix that will be incorporated into the implementation strategy. Together, these deliverables will inform tasks 3.3 — 3.7 and be the touchstone for the Catalytic Projects Design Worksession. Assumptions: • MIG will provide a draft map and refine it based on one round of consolidated comments from the Town 3.2. Catalytic Projects Design Worksession MIG will organize and facilitate one (1) half -day (3 hour) design worksession at Town Hall during Phase 3 of the planning effort. The focus will be on land use, development types, and sketch level concepts for Grant Avenue, Buchanan Avenue, First Street, and a new Town plaza or square. Assumptions: • MIG will plan the design worksession and provide the necessary base materials • Base materials will be derived from previous phases and will include sketch level concepts developed in tasks 3.3-3.4 • MIG will facilitate the design worksession • Town Staff will schedule the worksession and promote the worksession • MIG will plot posters and 20 handouts • Town Staff will print/plot any extra posters and handouts • Town Staff will provide any refreshments provided during the design worksession 3.3. Land Use, Circulation and Parking Strategy MIG will build on the Priority Projects map in Task 3.1 to develop a preliminary preferred land use map that will also include a circulation strategy incorporating existing roadways and new connections critical to the long-range vision for Old Town Firestone. To the extent that they are included in the community's vision for Old Town, MIG will also identify any recommended improvements to and/or addition of alleys in the Old Town planning area. An important aspect of this task will be landing on a short- and long-term parking strategy for any commercial, civic and/or mixed -use development in the area. MIG will work with Town Staff to articulate an implementation strategy, including: • Identify appropriate zoning designations and/or adjustments to zoning district definitions to support the future land use and vision for the built form • Define strategies to partner, regulate, and leverage/purchase land • Determine the Town's role in facilitation of redevelopment and development activities (land swaps, relocation program/s, etc.) Assumptions: • MIG will provide a draft land use and circulation map and refine it based on one round of consolidated comments from the Town • MIG and Town Staff will use the first design worksession to outline the overall strategy and regularly scheduled bi-weekly calls to further discuss and refine the strategy • MIG will provide a memo brief summarizing the key points of the Land Use, Circulation and Parking Strategy 3.4. Streetscape and Public Space Concepts MIG will prepare design concepts for Grant Avenue, First Street (north and south of Grant Avenue), and Buchanan Avenue. The concepts will be informed by the Town's street design standards and will include typical sections, plan view diagrams of key intersections and transitions, as well as up to two photo -simulations depicting major streetscapes. MIG will also identify a location for a public gathering space along or adjacent to First Avenue and/or Buchanan Avenue to support the historic commercial strip in Old Town. MIG will prepare a plan view diagram, or photo simulation to help visualize the public space. Assumptions: • MIG will provide a draft of all materials outlined above and refine them based on one round of consolidated comments from the Town 3.5. Gateways and Public Art Concepts MIG will develop gateway and public art concepts for access points to Old Town Firestone from Colorado Boulevard and the Firestone Trail. It is expected that this will include two (2) gateway treatments and sets of recommendations corresponding to existing and new access points aligning with McClure Avenue and Grant Avenue. Each gateway concept will also include concepts for public art integration and be illustrated using photo precedents and a hand sketch, photo -simulation, or 3D model (one illustration for each gateway for a total of two (2). This task will set the stage for a follow up planning process on gateways for the Town. Assumptions: • MIG will provide a draft of all materials outlined above and refine them based on one round of consolidated comments from the Town 3.6. Undeveloped/Annexed Areas Concept Framework MIG will develop conceptual high-level land use framework diagrams for the undeveloped properties within the Old Town Firestone planning area. These will include the southwest corner of Grant Avenue and Frontier Street, as well as the property east of First Street and north of the existing Town Hall. The deliverable for the two sites will include an annotated and a general land use and circulation diagram of how potential developments can implement the community's vision and tie into adjacent existing and planned development. Assumptions: • MIG will provide a draft of all materials outlined above and refine them based on one round of consolidated comments from the Town 3.7. Former Town Hall Site Master Plan and Planning Level Cost Estimates MIG will develop two preliminary sketch -level concepts for the former Town Hall site and then work with Town Staff and the Steering Committee to select and refine a preferred alternative. MIG will prepared plan view, perspective view and street level renderings for the preferred concept. The preferred concept for the Town Hall site will provide sufficient detail for MIG to prepare planning -level cost estimation. Assumptions: • MIG will provide a draft of all materials outlined above and refine them based on one round of consolidated comments from the Town 3.8.. Community Meeting #2: Project Priorities MIG and the Town will collaborate in facilitating a second Community Meeting at Town Hall. The meeting will include a short overview presentation of draft concepts from Tasks 3.3 — 3.7, a question and answer period, and a facilitated discussion. The formal meeting portion of the meeting will likely be bookended by open house sessions using posters on boards and easels. Assumptions: • Town Staff will schedule and promote the Community Meeting; Town Staff will also provide any refreshments available at the meeting • MIG will prepare a draft presentation for the meeting and Town Staff will contribute content and edit as appropriate • Two to three (2-3) MIG staff will facilitate the meeting • Town Staff will print/plot any materials necessary for the meeting • MIG will prepare a summary of the Community Meeting 3.9. Joint Board of Trustees and Planning & Zoning Commission Meeting and Materials MIG will present the findings of Phase 3 to the Board of Trustees and Planning & Zoning Commission in a joint meeting. This meeting will summarize the input received and convey the anticipated direction of the plan to the Board and Commission. It is meant to be used as a check in with the Board and determine if the plan is going in the desired direction prior to outlining the document. Assumptions: • MIG will provide one set of presentation and packet materials for the meeting • Town Staff will present to any other groups as deemed appropriate beyond the Town Board and Planning & Zoning Commission • MIG will provide a debrief of comments heard during the design worksession and the Town Board and Planning & Zoning Commission meeting 3.10. Phase 3 Project Management and Administration This task includes hour long bi-weekly project progress calls (via Zoom), emails, project administration, invoicing, communication, and coordination for Phase 3. Phase 3 is expected to span 6 to 8 weeks. Four bi-weekly calls and two invoicing rounds are anticipated. Draft Implementation Strategy MIG will collaborate with Town Staff to develop a draft Implementation Strategy that will include: • Potential magnitude of order costs of projects and programs tied to the goals and catalytic projects (typical costs will only be developed for public projects and per square foot or per linear foot estimates will be used for all projects other than for the concept the former Town Hall site); • Viable sources of funds for implementation delineated by project type; • Project/program timeline; • Project leads and/or partners; Projects and programs will be evaluated for cost versus benefit, potential cumulative effect, potential to leverage resources, capacity building, and concentration of resources. Assumptions: • MIG will provide a draft implementation strategy in Microsoft Word in a form appropriate for inclusion in the Draft and Final Plan. MIG will make one set of edits to the Implementation Strategy prior to inclusion in the Draft Plan based on one round of consolidated comments from the Town 4.2. Draft Standards and Guidelines MIG will prepare recommendations for planning area standards and guidelines based on the Town Development Code and Phase 1, 2 and 3 findings. MIG's approach to this task will include: • Delineating critical intent statements for key catalytic projects; • Reviewing and providing recommendations for any necessary changes to the development code (with assistance from Staff on what may need amending) and/or its application specific to Old Town; • Outlining design guideline parameters for existing or new portions of Old Town. Assumptions: • MIG will prepare a draft version of the Standards and Guidelines in Microsoft Word for Town review • Any exhibits included to support the recommendations will be provided in a separate PDF document • Town edits will be incorporated into the Public Draft Neighborhood Plan 4.3. Public Draft Old Town Firestone Neighborhood Plan MIG will create a full draft Neighborhood Master Plan for internal review. MIG will incorporate one consolidated set of comments from staff into a Public Draft Neighborhood Plan suitable for public circulation and review. MIG will provide web and print ready PDF files of the formatted plan document. MIG will also provide formatted spreadsheet for Town Staff to collect and organize comments on the public draft Plan. It is anticipated that the Neighborhood Plan will be highly graphic with text limited to introducing, explaining and annotating key ideas and projects. MIG will target a 35-50 page plan document. Assumptions: • MIG will prepare a draft version of the Plan in Microsoft Word for Town review • Exhibits will be provided in a separate PDF document for the initial internal review draft • Town Staff will distribute the Public Draft Plan and collect comments • Edits to the Public Draft Plan will be incorporated into the Final Neighborhood Plan 4.4. Community Meeting #3 and Joint Board of Trustees and Planning &Zoning Commission Update MIG and Town Staff will collaborate in facilitating a final community meeting / Board & Commission update. The meeting will include a short overview presentation of the Public Draft Plan and key changes identified during the public review period, a question and answer period, and a facilitated discussion. MIG will provide presentation materials to present findings to the Board of Trustees and Planning Commission. Assumptions: • Town Staff will schedule and promote the Community Meeting/Board &Commission update; Town Staff will also provide any refreshments available at the meeting • MIG will prepare a draft presentation for the meeting and Town Staff will contribute content and edit as appropriate • MIG will prepare a summary of the meeting • MIG will provide one set of presentation and packet materials for the meeting • MIG will present to the Board of Trustees, Planning & Zoning Commission • Town Staff will present to any other groups as deemed appropriate 4.5 Final Old Town Firestone Neighborhood Plan Based on an agreed upon set of changes (incorporating community, Board of Trustees, and Planning & Zoning Commission comments and edits), MIG will finalize the Neighborhood Plan as a guiding document for Staff and the community. Assumptions: • MIG will provide web and print ready PDF files of the Final Plan document. 4.6 Draft and Final "Plan on a Page" MIG will produce an attractive tri-fold document to highlight components of the Neighborhood Plan and market development opportunities and planned public investments in Old Town Firestone. Assumptions: • MIG will provide a draft "Plan on a Page" and refine it based on one round of consolidated comments from the Town • MIG will provide web and print ready PDF files of the Final "Plan on a Page" document 4.7 Final Deliverables Package MIG will prepare a package and share all final deliverables (including graphics) as individual files so that the Town may use and repurpose them as necessary.
