HomeMy WebLinkAbout24-12 Approving the Third Amendment to the Town Manager's Employment Agreement 1-10-2024-- THIRD AMENDMENT TO THE TOWN MANAGER'S EMPLOYMENT AGREEMENT This Third Amendment to the Town Manager's Employment Agreement is made and entered into this loth day of January 2024, by and between the Town of Firestone, Colorado, and Arthur J. Krieger, the Town Manager. WHEREAS, on April 10, 2019, the Town of Firestone entered into an Employment Agreement ("Agreement") with Arthur J. Krieger to serve as Town Manager, and WHEREAS, the Agreement provides that the Town Manager's performance shall be reviewed and evaluated by the Board of Trustees no less frequently than on an annual basis; and WHEREAS, in April and May of 2021 the Board of Trustees met with the Town Manager to review and evaluate his performance and subsequently amended the Agreement as to compensation and paid time off; and WHEREAS, in March 2022 the Board of Trustees met again with the Town Manager to review and evaluate his performance and subsequently amended the Agreement as to compensation; and WHEREAS, on May 17, 2023 the Board of Trustees met with a Human Resources Consultant to conduct its review and evaluation of the Town Manager and on December 13, 2023 the Board of Trustees authorized Mayor Pro Tern Jimenez and Trustee Sharp to meet with the Town Manager to discuss proposed amendments to the Agreement; and WHEREAS, on December 18, 2023 Mayor Pro Tem Jimenez and Trustee Sharp met with the Town Manager and the parties agreed to amendments regarding the timing of the annual review and evaluation and compensation. NOW, THEREFORE, the parties agree as follows: Section 1. Section 3, Compensation, of the Agreement is amended by increasing the Town Manager's annual base salary from $210,000.00.to $2209500.00 effective April 10, 2023, which day is the Town Manager's Anniversary of Hire. Section 2. The second sentence of Section 6, Performance Evaluation: Off Site Retreat is amended to read as follows; The Town Manager's performance shall be reviewed and evaluated no less frequently than in February, May, August and November of each year; except that the foregoing shall not limit the authority of the Board of Trustees to review and evaluate the performance of the Town Manager at any other time as the Board of Trustees in its discretion may determine. Section 3. All other terms and conditions of the Agreement shall remain in full force and effect. TOWN OF FIRES NE, COLORADO Drew'Alan eterson, Mayor Al Kristi It Bashor, CMC, Town Clerk RESOLUTION N0.24-12 A RESOLUTION OF THE BOARD OF TRUSTEES OF THE TOWN OF FIRESTONE, COLORADO, APPROVING THE THIRD AMENDMENT TO THE TOWN MANAGER'S EMPLOYMENT AGREEMENT WHEREAS, on April 9 the Town of Firestone entered into an Employment Agreement ("Agreement") with Arthur J. Krieger to serve as Town Manager; and WHEREAS, the Agreement provides that the Town Manager's performance shall be reviewed and evaluated by the Board of Trustees no less frequently than on an annual basis; and WHEREAS, as a result of such reviews in 2021 and 2022 the Board of Trustees approved the First Amendment to the Agreement which amended the Town Managers compensation and paid time off and the Second Amendment to the Agreement which amended the Town Managers compensation; and WHEREAS, on May 17, 2023 the Board of Trustees met with a Human Resources Consultant to conduct its review and evaluation of the Town Manager and on December 13, 2023 the Board of Trustees authorized Mayor Pro Tern Jimenez and Trustee Sharp to meet with the Town Manager to finalize amendments to the Agreement; and WHEREAS on December 18, 2023 Mayor Pro Tem Jimenez and Trustee Sharp met with the Town Manager and the parties agreed to amendments regarding the Agreement's annual review and evaluation process and compensation. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF TRUSTEES OF THE TOWN OF FIRESTONE, COLORADO: The Third Amendment to the Town Manager's Employment Agreement is approved in substantially the same form as the copy attached hereto and made a part of this resolution and the Mayor is authorized to execute the Third Amendment on behalf of the Town.
