A RESOLUTION OF THE BOARD OF TRUSTEES OF THE TOWN OF
FIRESTONE COLORADO APPROVING THE THIRD AMENDMENT TO THE
ENGINEERING SERVICES AGREEMENT BETWEEN THE TOWN OF
FIRESTONE AND McGRANE WATER ENGINEERING LLC.
WHEREAS, on January 89 20205 the Town of Firestone ("Town") entered into an
Engineering Services Agreement with McGrane Water Engineering, LLC, for the Gould
Horizontal Well Project's ("Project") final design and constriction engineering duties
("Agreement" ); and
WHEREAS, the Project is now known as the Firestone Alluvial Supply Treatment
("FAST"); and
WHEREAS, the Agreement was fast amended as a change in the physical characteristics
of the alluvium provided the opportunity to develop a more efficient ground water delivery system
which resulted in the constriction of three additional vertical wells, reduction in the size of the
original horizontal well and eliminated the need for the planned construction of the second phase
of the horizontal well; and
WHEREAS, the Agreement was amended a second time as an opporhmity arose to expand
the physical capacity of the Project's recharge trench and modify the horizontal well installation
technique which would increase the function of the well; and
WHEREAS, the parties have now encoiuntered unanticipated timing, supply chain and
staffing issues which requires that the Scope of Work be amended to change the method of
construction delivery and eliminate work not deemed critical to the Project.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF TRUSTEES OF THE
TOWN OF FIRESTONE, COLORADO:
The Third Amendment to the Agreement between the Town of Firestone and McGrane
Water Engineering, LLC, for Engineering Services, is approved in substantially the same form as
the copy attached hereto and made a part of this resolution and the Mayor is authorized to
execute the Third Amendment on behalf of the Town.

TMLK AMENDMENT TO AN AGREEMENT BY AND BETWEEN THE TOWN OF
FIRESTONE AND McGRANE WATER ENGINEERING, LLC
FOR ENGINEERING SERVICES
made and entered into effective as of the UM day of , 2022, by and between the
TOWN OF FIRESTONE, a Colorado municipal corporatioY hereinafter referred to as the
"Town", and McGrane Water Engineering, LLC, a Colorado limited liability company,
hereinafter referred to as the "Consultant" with reference to that certain Engineering Services
Agreement between the Town and Consultant approved with Resolution 20-05 and executed by
the Town on January 8, 2020, with First Amendment approved with Resolution 20-78 and
executed by the Town on August 12, 2020, and with Second Amendment approved with
Resolution 21-77 and executed by the Town on June 23, 2021, hereinafter referred to as the
"Original Agreement."
WHEREAS, during the course of the fmal design stage of the project, for the Horizontal
Well Pump Station, several unanticipated issues arose that were beyond the reasonable control or
expectation of Consultant, and,
WHEREAS, during the final design stage it was determined that it would be
advantageous to prepare separate bidding documents for the FAST Pipeline and for the FAST
Horizontal Pump Station, and,
WHEREAS, it has been determined that some of the original Scope of Services are not
needed or can be reduced and still effectively complete the project, and,
WHEREAS, the Parties believe it to be in the best interest to further amend the Original
Agreement as set forth herein.
NOW, THEREFORE, for good and valuable consideration, the Parties agree as follows:
1. Section 2.1 of the Original Agreement is hereby amended to increase the not -to -
exceed compensation amount to a new total of $767,000.00.
2. Exhibit A of the Original Agreement is hereby further amended to include the
attached Exhibit A3 -Additional Scope of Services, that details the additional design effort, the
revised construction phase services to be provided, and allows for third part certification of the
meters on the three Vertical Wells for the State Engineer's office.
3. The Original Agreement, as herein fiuther amended by this Third Amendment, is
hereby ratified and confirmed and remains in full force and effect in accordance with its terms.

RE: Contract Amendment No. 3 Request —Firestone FAST Wellfield Engineering
Dear Mr. Lindsay:
McGrane Water Engineering, LLC (MWE) requests Contract Amendment No. 3 (CA-3) for
engineering services necessary to complete the FAST pipeline, pump station and pump procurement
phases totaling $53,000. The net additional request includes: i) removing two tasks from the scope of
work that were not required; ii) adding budget to tasks that were under-fi nded; and iii) conducting
additional unforeseen tasks.
Work Not Conducted
We deleted the following tasks from the project.
• Task 3.2 — CDPHE Review (-$13,000); and
• Task 4.6 — Pipeline Construction Observation (-95000).
The total work subtracted from the project budget is-$22,000.
iJnforeseen Work
Unforeseen work includes:
• Unanticipated additional costs associated with replacing the prunary design engineer (Wernk)
with Stantec a larger, less efficient engineering company. This included getting Stantec up to
speed, and then preparing a separate pipeline bid package that allowed the water treatment plant
contractor (IWS) to conduct the work under a change order.
• Assisting CCG to source PVC pipe as a result of supply chain issues; and
• Hiring a structural engineer (SRMC) to prepare a building design for a frame structure instead
of the originally envisioned prennanufactured frame building.

We believe the combined effect of these activities was to increase the cost of Task 3.4— Design Pwilp
Station and Pipeline by $30,000, and Task 3.7—Project Mclnc/gellientActivities by $10,000. The total
cost of unforeseen work was $40,000.
Additional and Future Work
Additional unforeseen work since our last change order (CA-2) in July, 2020 includes:
Task: 3.12 —Preparing aseparate prrn/p station bicl and Construction De.Slgll Sl/pp01't
This includes additional electrical design and design review of the pump station project conducted by
MWE subcontractors, Acuity and Stantec (engineers on record). During constriction, Stantec and
Acuity will need to be available to:
• Answer questions about the specifications;
• Review submittals; and
• Document pump startup and testing.
We estimate the total cost will be approximately $20,000.
Task: 4.11 Pump Procurement and Flo1v Meter Certifrcatiolls
CCG requested that we prepare a pump procurement specification for the Town's preferred pump
provider (Cogent). The pumps were resized several times which required several reviews. This involved
coordinating with Cogent and Timberline Electric to separate the controls portion of the project from
the pump station bid. We also arranged for Colorado Water Well to conduct four flow meter
certifications totaling S2,500 that will be paid by MWE and reimbursed by the Town.
The total of additional and future work is $3.5,000.
Task _5.0 Pump Installation and Start-up Report
There was originally $255000 budgeted for the pump installation and startup report that would serve
to document project constriction and testing. CA-3 would ensure adequate budget to complete the
task.
Table 1 shows all additional costs by tasks. Non -highlighted items were in the original scope of
work. Green highlighted items were budgeted in CA -No. 1. Orange highlighted tasks were included
in CA -No. 2. Pink highlighted items are included in CA-No.3. The total net CA-3 request is
$539000 ($40k + $35k - $22k). This would increase the engineering budget to $767,000.

MWE Contract Amendment CA-3 Request
Schedule
The contract completion date was March 2022. However, we now expect the project to be completed
by December, 2022 which will allow time to prepare the project completion report after construction.
We request CA-3 include this extension.
Consh•uction Observation and Management of FAST Projects by CCG
At the request of CCG (email dated 4/11/22) MWE design subcontractors, Acuity and Stantec will need
to be available during construction to review submittals and make design corrections, etc. CCG will be
responsible for "day-to-day inspection/observation of the FAST pipeline, pump station and pump
procurement and installation and take care of processing pay applications and change orders."

below.
