REGARDING CONSTRUCTION ENGINEERING SERVICES FOR THE ST VRAIN WATER TREATMENT PLANT PUMP STATION WHEREAS, upon adoption of Resolution 21-69, on May 26, 2021, the Board of Trustees of the Town of Firestone awarded the contract for the St. Vrain Water Treatment Plant Pump Station Construction Engineering to Stantec Consulting Services Inc., ("Contractor"); and WHEREAS, during the course of construction of the project, several unanticipated issues arose that were beyond the reasonable control or expectation of Contractor that required more work than had been originally estimated; and WHEREAS, delays in the delivery of certain construction materials and equipment required processing of additional change and field orders, which extended the construction period beyond the original contract time; and WHEREAS, addition of the Firestone Alluvial Supply and Treatment ("FAST") pipeline to the construction contract required processing of additional change and field orders and submittal reviews. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF TRUSTEES OF THE TOWN OF FIRESTONE, COLORADO: The First Amendment to the Professional Services Agreement between the Town of Firestone and Stantec Consulting Services Inc., regarding Construction Engineering for the St Vrain Water Treatment Plant Pump Station is approved in substantially the same form as the copy attached hereto and made a part of this resolution, and the Mayor is authorized to execute the First Amendment on behalf of the Town. FOR PROFESSIONAL SERVICES THIS FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT for the St Wain Water Treatment Plant Pump Station Construction Engineering (W2020-9524.03) is made and entered into effective as of the day 6M 2022, by and between the TOWN OF FIRESTONE, a Colorado municipal co orati n, hereinafter referred to as the "Town", and Stantec Consulting Services Inc., a New York orporation, hereinafter referred to as the "Contractor" with reference to that certain Professional Services Agreement between the Town and Contractor approved with Resolution 21-69 and executed by the Town on May 26, 2021, hereinafter referred to as the "Original Agreement." WHEREAS, during the course of the construction of the project, several unanticipated issues arose that were beyond the reasonable control or expectation of Contractor that required more of their time than had been originally estimated, and; WHEREAS, delays in the delivery of certain construction materials and equipment and delays in the start up of the water treatment plant have extended the construction period beyond the original contract time, and; WHEREAS, the addition of the FAST Pipeline to the construction contract required processing of additional change orders, field orders, and submittal reviews, and; WHEREAS, the Parties believe it to be in the best interest to amend the Original Agreement as set forth herein. NOW, THEREFORE, for good and valuable consideration, the Parties agree as follows: 1. Section III of the Original Agreement is hereby amended to increase the not -to - exceed compensation amount to a new total of $158,455.00. 2. Exhibit A of the Original Agreement is hereby further amended to include the attached Exhibit Al - Additional Scope of Services, that details the additional construction engineering effort. 3. The Original Agreement, as herein further amended by this First Amendment, is hereby ratified and confirmed and remains in full force and effect in accordance with its terms. Compensation is described as to estimates in the form of an individual's professional time, subconsultant costs, and direct expenses. This increase in the total budget compensation is the result of the following: • The construction schedule has extended due to contractor delays in commencement. • Significant supply material shortages • Preparing and reviewing RFI's, Change Orders, and Field Orders related to supply chain shortages. • Addition of the FAST Pipeline Project to the contractor's contract.
