TIDS FIRST AMENDMENT TO ENGINEERING SERVICES AGREEMENT is made and entered into effective as of the 12th day of August ., 2020, by and between the TOWN OF FIRESTONE, a Colorado municipal corporation, hereinafter referred to as the "Town", and McGrane Water Engineering, LLC, a Colorado limited liability company, hereinafter refened to as the "Consultant" with reference to that ce1iain Engineering Services Agreement between the Town and Consultant approved with Resolution 20-05 and executed by the Town on Januaiy 8, 2020, hereinafter refen-ed to as the "Original Agreement." WHEREAS, during the ·course of final design Consultant discovered a change in the physical characteristics of the alluvium under the Gould property that was not anticipated, and; WHEREAS, the change in physical characteristics of the alluvium creates an opportunity to develop a more efficient groundwater delivery system that would add three new ve11ical wells, reduce the size of the planned horizontal well, and eliminate the need for a second phase of horizontal well construction in the future, and; WHEREAS, the design of the new vettical wells and the additional construction bidding and management are beyond the scope and budget of the Oliginal Agreement, and; WHEREAS, based on the proposal for additional services provided by Consultant, the Town desires to have these additional services provided, the Parties believe it to be in the best interest to amend the Original Agreement as set forth herein. NOW, THEREFORE, for good and valuable consideration, the Paiiies agree as follows: 1.Section 2.1 of the Original Agreement is hereby amended to increase the not-to-exceed compensation amount to a new total of $639,000. 2.Exhibit A of the Original Agreement is hereby amended to include the attachedExhibit Al - Additional Scope of Services, that details the additional design and construction phase services to be provided. 3.The Original Agreement, as herein amended by this First Amendment, is herebyratified and confirmed and remains in full force and effect in accordance with its terms. 1
